Welcome to sikuri.lat (hereinafter, "the Company", "we", or "the Consultant"). By accessing this website and/or hiring our data consulting services, you (hereinafter, "the Client", "the User", or "You") agree to be bound by these Terms and Conditions. If you do not agree with any part of them, please do not use our website or services.

1. DESCRIPTION OF SERVICES

sikuri.lat provides professional consulting services related to the management, analysis, processing, and visualization of data. This includes, but is not limited to: [E.g., Data Engineering, Business Intelligence, data modeling, database implementation, predictive analytics, dashboard creation, among others]. The specific services, scopes, timelines, and fees will be detailed in a separate document entitled Service Proposal or Statement of Work (SOW), which shall prevail in the event of any conflict with these General Terms.

2. OWNERSHIP OF CLIENT DATA

The Client acknowledges and agrees that they are the sole and exclusive owner of the data, databases, and information provided to sikuri.lat for the execution of the services. We commit to using such data solely for the purposes established in the Service Proposal and not to disclose it to third parties without express consent, except as required by law.

3. INTELLECTUAL PROPERTY AND COPYRIGHT

This section is fundamental and is divided into two parts:

  • Pre-existing Materials: All content on the website (code, designs, texts, proprietary methodologies) is the intellectual property of sikuri.lat.
  • Project Deliverables: The scripts, source codes, data models, queries, dashboards, and any other material developed by sikuri.lat during the provision of the service shall be the property of [Choose one option: Option A: sikuri.lat, which grants the Client a perpetual, non-exclusive, and non-transferable license for internal use / Option B: The Client, once 100% of the corresponding payment has been settled].
  • Third-party Tools: If open-source tools or libraries are used, these shall be subject to their respective original licenses and are not transferred to the Client as exclusive property.

4. CONFIDENTIALITY AND SECURITY

Both parties agree to maintain in strict confidentiality all technical, commercial, and strategic information exchanged during the project. sikuri.lat will apply reasonable security measures to protect the Client's data against unauthorized access or destruction. However, the Client is responsible for providing the data in a secure format and for granting the necessary access (credentials, VPNs, etc.) in a secure manner.

5. CLIENT OBLIGATIONS

In order for sikuri.lat to execute the services correctly, the Client is obligated to:

  • Provide the data in a timely, accurate manner and in the agreed formats.
  • Facilitate access to the necessary platforms, servers, databases, or software.
  • Designate a main point of contact to streamline queries and approvals.
  • Disclaimer on Data: sikuri.lat acts upon the data provided. We are not responsible for the lack of accuracy, errors, or omissions in the results (reports, dashboards) if such errors stem from incorrect, incomplete, or corrupt input data provided by the Client.

6. PAYMENTS AND BILLING

The following points are for reference only; payments and timelines are negotiable and will be specified in the initial contract.

  • Fees will be billed as stipulated in the respective Service Proposal (hourly, by project milestones, or monthly retainer).
  • Invoices must be paid within [e.g., 15 or 30] calendar days following their issuance.
  • In the event of default, sikuri.lat reserves the right to suspend services, pause access to deliverables, and charge a late payment interest of [X]% per month.
  • Extraordinary expenses (e.g., AWS/GCP cloud server costs, specific software licenses) not included in the initial proposal will be billed to the Client upon prior approval.

7. LIMITATION OF LIABILITY

sikuri.lat provides consulting and advisory services. Our reports, analyses, and dashboards are support tools for the Client's decision-making process, but we do not guarantee specific commercial outcomes. The Client is solely responsible for the business decisions made based on our analyses. In no event shall the total liability of sikuri.lat to the Client exceed the total amount actually paid by the Client in the [e.g., three (3)] months prior to the event giving rise to the claim.

8. WARRANTY AND SUPPORT

Once a project/milestone has been delivered and approved, sikuri.lat will offer a free support period of 15 to 30 days (Depending on the work involved) to correct errors (bugs) or malfunctions in the deliverables. This support does not include the addition of new features or changes to the original scope.

9. LINKS TO THIRD PARTIES

The website may contain links to third-party tools, software, or data platforms. sikuri.lat is not responsible for the privacy policies, security, or availability of said third-party platforms.

10. TERMINATION

Either party may terminate an ongoing service by providing written notice [e.g., 15] days in advance. If the Client decides to terminate the contract early and without just cause, they must pay sikuri.lat for all work performed up to the date of notification, plus a penalty equivalent to [60]% of the pending project amount to cover reallocation costs.

11. GOVERNING LAW AND JURISDICTION

For the interpretation and compliance of these Terms, the parties submit to the laws of [Your Country, e.g., Peru, Colombia, Mexico, Chile], waiving any other jurisdiction that might correspond to them. Any dispute will be resolved in the courts of Asunción - Paraguay.
